Terms of Service

These Terms of Service (“Agreement”) govern your use of Xelp, a product of Blaze Technologies FZE, accessible via xelp.io. Please read carefully. By using our Service, you agree to be bound by these terms.

1. Service

Xelp provides a customer service and chat platform to collect, manage, and send customer data between sources and destinations. You remain responsible for how you use and configure the Service.

• Provision: The Service is licensed for your internal business use during the subscription term.
• Accounts: You must provide accurate details when creating accounts and safeguard your login credentials.
• Restrictions: You may not resell, tamper with, or misuse the Service. Prohibited uses include transmitting malicious code, storing sensitive health/PCI data, or violating applicable laws.
• Third-Party Services: Some integrations may be available and are subject to their own terms.
• Trials: Trial accounts are provided “as is” and may have limited features.

2. Data

You represent that you have rights to the data you upload. Xelp may use anonymized, aggregated data to improve its services.

• Our Privacy Policy governs personal information.
• Xelp uses Amazon Web Services (AWS) for infrastructure and applies industry-standard security practices.
• You are responsible for backing up your own data. Data may be deleted 30 days after termination.

3. Payment Terms

• Fees: Based on your usage tier and invoiced monthly.
• Pricing: May be updated at xelp.io/plans.
• Subscriptions: Renew automatically unless canceled in your account settings.
• Delinquent Accounts: May be suspended or terminated for non-payment.
• Taxes: You are responsible for applicable taxes.

4. Proprietary Rights

Xelp retains ownership of the Service, its software, and all related intellectual property. You retain ownership of your own data. Feedback you provide may be used by Xelp without restriction.

5. Confidentiality

Both parties agree to protect each other's confidential information and use it only as required under this Agreement.

6. Warranties & Disclaimers

• Each party warrants it has authority to enter this Agreement.
• Xelp warrants the Service will materially perform as documented and be free of malicious code.
• Except as expressly stated, the Service is provided “as is” and “as available.”

7. Limitation of Liability

Neither party will be liable for indirect or consequential damages. Aggregate liability is limited to the fees paid in the 12 months prior to the claim.

8. Indemnification

Xelp will defend claims that unmodified Service tools infringe third-party IP. Customers will defend claims related to their data or misuse of the Service.

9. Term & Termination

• Agreement continues until subscriptions expire or are terminated.
• Either party may terminate for cause if a breach is not cured within 30 days.
• Data may be exported within 30 days after termination, after which Xelp may delete it.

Xelp complies with the Digital Millennium Copyright Act (DMCA). Notices may be sent to:

11. Governing Law

This Agreement is governed by the laws of Delaware, USA. Venue lies in courts located in Middletown, Delaware.

12. General

This Agreement is the complete agreement between the parties. Neither party may assign rights without consent, except in cases of merger or acquisition.

13. AI Terms of Service

AI Services may be powered by OpenAI and are hosted in the U.S. Sensitive data should not be submitted. By using AI features, you acknowledge OpenAI as a subprocessor.

14. Changes to Terms

Xelp may update these Terms by posting on xelp.io. Material changes will be notified in advance and may allow you to opt out.

Key defined terms include: Collected Data, Documentation, Personal Information, Reports, Service, Subscription Term, Tools, PCI Data, Health Information.
